The Sales Agent Legal Pack

Contract with sales agents on solid legal ground. Professionally drafted agency agreements and expert guidance, developed with specialist commercial agency solicitors at Myerson, including up to 30 minutes of solicitor consultation.

Why you need an Agency Agreement

The relationship between a company (the principal) and a sales agent is governed by the Commercial Agents Regulations, introduced in 1993 and still in force today, including after Brexit.

These rules apply automatically. You don’t opt in, and you can’t avoid them by simply not signing anything. They give agents significant legal rights, particularly around termination, where an agent may be entitled to compensation or an indemnity payment when the relationship ends. Without a written agreement, the default rules decide the outcome, and they tend to favour the agent rather than the company.

A well drafted agreement sets clear terms from day one: commission, territory, exclusivity, notice periods and what happens on termination. It protects your business without being one-sided, which matters, because experienced agents expect a proper agreement, and many won’t start work without one.

The cost of getting it wrong

Agency law is a specialised field. Many general solicitors rarely touch it, and disputes over termination payments can run into tens of thousands of pounds. The companies that end up in trouble are almost always the ones that started the relationship on a handshake or a generic contract.

A fully bespoke agreement from a specialist firm is the most thorough option, but it costs many times the price of this pack. For the vast majority of companies working with sales agents, the Legal Pack covers everything needed, and the included solicitor consultation lets you check whether your situation needs anything more before spending another pound.

What’s inside the legal pack

Everything below is delivered to your inbox immediately after purchase:

  1. Model Sales Agent Agreement for Goods – professionally drafted, ready to use and easy to customise
  2. Guidance Notes for the Goods Agreement – walks you through the Goods template clause by clause, explaining every choice you’ll need to make
  3. Model Sales Agent Agreement for Services – so you’re covered whichever side of the line your business falls on, with drafting notes built into the document
  4. Agency: An Overview – a clear guidance document to get you up to speed fast on how agency law and the Commercial Agents Regulations work
  5. FAQs – straight answers to the questions companies ask most
  6. The Commercial Agents Regulations 1993 – the full text of the legislation your agreement is built around, included for reference
  7. Legal article: Commercial agents and software – goods rather than services? – essential reading for tech and SaaS companies
  8. Up to 30 minutes’ consultation with the drafting solicitor at Myerson – included with every purchase, for questions or sense-checking your changes

Why two agreements? The Commercial Agents Regulations apply to the sale of goods, but the line between goods and services isn’t always clear (software being the classic example). You receive both templates plus expert articles on the distinction, so you use the right agreement with confidence. One pack, no guesswork.
